Welcome to MotorPoster. These Terms of Service ("Terms") govern your access to and use of the MotorPoster website, services, and tools (collectively, the "Service"). By accessing or using our Service, you agree to be bound by these Terms.

1. Service Overview

1.1 Free Services

MotorPoster provides free tools for creating vehicle for-sale posters and sale agreements for private use in New Zealand. These services are provided "as is" without warranties of any kind.

1.2 Advertising Services

We offer paid advertising placements for businesses targeting New Zealand vehicle sellers. Advertising is governed by separate written agreements and these Terms.

2. User Responsibilities

2.1 Accuracy of Information

You are solely responsible for the accuracy, completeness, and legality of all information you input into our tools. This includes but is not limited to:

• Vehicle specifications, pricing, and condition details
• Personal contact information
• Sale agreement terms and conditions
• Any representations made in generated documents

2.2 Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Provide false, misleading, or fraudulent information
• Use the Service to violate any applicable laws or regulations
• Attempt to interfere with, disrupt, or harm the Service
• Use automated systems to access the Service without permission
• Reproduce, redistribute, or resell our tools or content
• Reverse engineer or attempt to extract source code

2.3 Consumer Law Compliance

When selling vehicles in New Zealand, you must comply with the Consumer Guarantees Act 1993, Fair Trading Act 1986, and all applicable consumer protection laws. MotorPoster does not provide legal advice.

3. Intellectual Property

3.1 Your Content

You retain all rights to the information you input into our Service. By using the Service, you grant us a limited license to process and display your content solely to provide the Service to you.

3.2 Our Content

All content, features, and functionality of the Service (excluding user-generated content) are owned by MotorPoster and protected by copyright, trademark, and other intellectual property laws.

3.3 Generated Documents

Documents you create using our tools (posters, agreements) are yours to use. However, the underlying templates and generation tools remain our property.

4. Advertising Terms

4.1 Advertiser Responsibilities

Advertisers are solely responsible for:

• The content, accuracy, and legality of their advertisements
• Compliance with all applicable advertising laws and regulations
• Obtaining necessary permissions for use of trademarks, images, or copyrighted material
• Ensuring ads do not contain misleading, offensive, or illegal content
• Payment of all fees as agreed in writing

4.2 Advertisement Standards

All advertisements must:

• Comply with New Zealand advertising standards and the Fair Trading Act 1986
• Not contain false, misleading, or deceptive claims
• Not violate any third-party rights
• Be appropriate for a general audience
• Relate to products or services relevant to vehicle sellers/buyers

4.3 Right to Refuse or Remove Ads

We reserve the right to refuse, remove, or modify any advertisement that:

• Violates these Terms or applicable laws
• Contains inappropriate or offensive content
• Competes directly with our business
• We deem unsuitable for any reason

Removal of ads does not relieve advertisers of payment obligations unless specifically agreed in writing.

4.4 No Guaranteed Results

Important: We provide advertising space but do not guarantee any specific results, including impressions, clicks, conversions, or sales. Traffic estimates are projections only.

5. Limitation of Liability

5.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

5.2 No Liability for User Content

MotorPoster is not responsible for:

• The accuracy, legality, or quality of user-generated content
• Any disputes arising from vehicle sales facilitated by posters created using our Service
• The legal validity or enforceability of sale agreements generated using our templates
• Any misrepresentations made by users in their listings or agreements

5.3 Advertiser Content

MotorPoster is not liable for:

• Advertiser content, claims, or representations
• Products or services advertised on the platform
• Any disputes between advertisers and their customers
• Advertiser compliance with laws or regulations

5.4 Maximum Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOTORPOSTER'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM (IF ANY).

5.5 Exclusion of Consequential Damages

IN NO EVENT SHALL MOTORPOSTER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL.

6. Indemnification

You agree to indemnify, defend, and hold harmless MotorPoster, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Content you provide through the Service
• For advertisers: Your advertisement content, claims, or business practices

7. Privacy and Data

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to our collection and use of data as described in the Privacy Policy.

7.1 No Storage of Personal Data

We do not permanently store personal information entered into our poster or agreement generators. Data may be temporarily cached for up to 24 hours to enable auto-fill features.

8. Service Availability

8.1 Uptime

While we strive to maintain reliable service, we do not guarantee uninterrupted access. We may suspend or terminate the Service at any time for maintenance, security, or other reasons.

8.2 Usage Limits

We may impose reasonable usage limits to ensure stability and prevent abuse. Excessive automated usage may result in temporary or permanent blocking.

9. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service immediately ceases.

10. Changes to Terms

We may modify these Terms at any time. Material changes will be posted on this page with an updated "Last Updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

11. Governing Law and Disputes

11.1 New Zealand Law

These Terms are governed by the laws of New Zealand. Any disputes shall be subject to the exclusive jurisdiction of the courts of New Zealand.

11.2 Dispute Resolution

Before initiating legal proceedings, parties agree to attempt to resolve disputes through good-faith negotiation.

12. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

13. Entire Agreement

These Terms, together with our Privacy Policy and any written advertising agreements, constitute the entire agreement between you and MotorPoster regarding the Service.
